Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of YCAD’s iOS application and web-based services (collectively, the "Service"). If additional platforms (including Android) are offered in the future, your use of those platforms will also be governed by these Terms and any updated terms provided at that time.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use YCAD.

0. Definitions

"YCAD", "we", "us", and "our" refer to Mikeli, operating as a sole proprietorship based in Yukon, Canada.

"You" means the individual user, the organization you represent, or any individual accessing the Service via invitation links, guest submission tokens, or other shared access methods.

"User Content" means content you create, upload, store, or share through the Service.

"Organization" means a team, club, school, or other group account you create, administer, or participate in through the Service.

"Paid Features" means features requiring a subscription or purchase.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum digital consent age in your jurisdiction) to use the Service.

If you act on behalf of an Organization, you represent you are authorized to bind that Organization.

You are responsible for safeguarding your login credentials.

You must provide accurate information and keep it current.

Notify us promptly if you suspect unauthorized access.

2. License & Acceptable Use

YCAD grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for legitimate coaching, planning, and organizational administration purposes.

Do not reverse engineer or attempt to access source code except where legally permitted.

Do not bypass security, paywalls, or usage controls.

Do not use the Service unlawfully or in ways that harm others.

Do not upload malicious software or attempt unauthorized access.

We may suspend or restrict access where reasonably necessary to protect users, YCAD, or comply with law.

3. Subscriptions & Paid Features

Paid Features are billed through platform providers (e.g., Apple App Store).

Billing, renewals, and refunds are governed by the app store’s terms.

YCAD may modify, enhance, or discontinue Paid Features with reasonable notice.

Continued use after modification constitutes acceptance of changes.

We do not store full payment credentials.

4. User Content & Organization Governance

You retain ownership of your User Content. You grant YCAD a license to host and process it solely to operate the Service.

You represent you have lawful authority to upload content, including information about minors.

Organizations control Organization Content through authorized administrators.

YCAD is not responsible for internal disputes, administrator actions, or content decisions made within Organizations.

You are responsible for maintaining backups of critical information.

We may remove content where reasonably necessary for safety, legal compliance, or risk mitigation.

5. AI Features

YCAD may provide artificial intelligence ("AI") tools to assist with planning and reporting.

AI output is automated and may be inaccurate or incomplete.

You must independently review AI-generated material before relying on it.

AI features do not constitute medical, safety, financial, or professional advice.

Do not submit highly sensitive personal or medical data into AI tools.

YCAD is not liable for injury, loss, or damage arising from reliance on AI-generated content.

6. Financial Tools

Financial features are provided for recordkeeping and organizational assistance only.

YCAD is not an accounting or financial advisory firm.

You are responsible for verifying reports and compliance with applicable tax and regulatory requirements.

Forecasts and AI-generated projections are illustrative only.

YCAD is not liable for audit outcomes, penalties, missed filings, or financial decisions.

7. Service Availability & Beta Features

The Service may evolve over time.

We may modify, suspend, or discontinue features.

Certain features may be labeled beta or experimental and provided without warranties.

We are not obligated to maintain any specific feature indefinitely.

8. Third-Party Services

YCAD integrates with third-party providers (e.g., hosting, authentication, analytics, billing).

Third-party services are governed by their own terms.

YCAD is not responsible for third-party systems.

9. Export & Legal Compliance

You may not use the Service in violation of Canadian export laws, sanctions laws, or other applicable regulations.

You represent that you are not located in a jurisdiction subject to applicable trade restrictions.

10. Disclaimers

The Service is provided "as is" and "as available."

We do not guarantee uninterrupted or error-free operation.

We do not guarantee specific performance, training, or financial outcomes.

To the extent permitted by law, we disclaim implied warranties.

11. Limitation of Liability

To the maximum extent permitted by law:

YCAD is not liable for indirect, incidental, consequential, or punitive damages.

YCAD’s total liability will not exceed the greater of (a) amounts paid in the previous 12 months or (b) $50 CAD.

YCAD is not liable for failure or delay resulting from causes beyond its reasonable control, including cloud provider outages, telecommunications failures, natural disasters, governmental actions, labour disputes, or other unforeseen events.

You may stop using the Service at any time.

We may suspend or terminate access, with or without notice, where reasonably necessary for security, risk management, payment issues, legal compliance, or violations of these Terms.

Sections intended to survive termination will remain in effect.

15. Governing Law

These Terms are governed by the laws of Yukon, Canada and applicable federal laws of Canada.

Disputes shall be resolved in the courts of Yukon, Canada, unless applicable law requires otherwise.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

17. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through reasonable notice.

Continued use constitutes acceptance.
